  1. Board of Directors
    Harrods Bank Limited (“HBL” or “the firm”) has a Board of Directors (“the Board”) which defines, oversees and is accountable for the implementation of governance arrangements that ensure effective and prudent management of the firm, including the segregation of duties in the firm and the prevention of conflicts of interest.  The Board is chaired by an independent, Non-Executive Chairman and comprises an appropriate combination of independent and non-independent Non-Executive and Executive Directors, all of whom are deemed to be of sufficiently good reputation and possess sufficient knowledge, skills and experience to perform their individual duties as well as the duties of the Board collectively.  The Chairman and Directors are required to commit sufficient time to perform their functions in the firm and are provided with appropriate training (whether initially or on an ongoing basis) to support them in this respect.  A copy of the Board Terms of Reference, setting out the Board’s detailed duties and responsibilities is available upon request. 
  2. Nomination & Remuneration Committee
    HBL has an established Nomination and Remuneration Committee (“the Committee”), which is a sub-committee of the Board and is responsible for overseeing the structure, composition and performance of the Board, as well as ensuring that the firm’s approach to remuneration remains compliant with applicable laws and regulations, appropriate to the nature and scope of HBL’s business and operations, and aligned to the proper management of risk.  The Committee comprises an independent Non-Executive Director (who is the Chair of the Committee) and the firm’s Chairman.  A copy of the Committee’s Terms of Reference, setting out the Committee’s detailed duties and responsibilities is available upon request.
